1. Acceptance of Terms

By accessing or using Procedurio ("the Service"), operated by Procedurio LLC ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Procedurio is an AI-powered platform that assists users in generating Standard Operating Procedures (SOPs). The Service uses artificial intelligence to help draft procedure documents based on user inputs including industry, regulations, and process descriptions.

3. AI-Generated Content Disclaimer

SOPs and other content generated by Procedurio are AI-assisted drafts, not finalized compliance documents. You are solely responsible for reviewing, editing, and validating all generated content before use. We do not guarantee that generated SOPs meet any specific regulatory requirements, industry standards, or legal obligations.

AI-generated content may contain errors, omissions, or inaccuracies. Always have qualified personnel review generated SOPs before implementation in any regulated environment.

4. User Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. You must notify us immediately of any unauthorized access.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to reverse-engineer, decompile, or extract source code from the Service
  • Interfere with or disrupt the Service or its infrastructure
  • Create accounts through automated means or under false pretenses
  • Resell, redistribute, or sublicense access to the Service without permission
  • Upload malicious content or attempt to exploit vulnerabilities

6. Intellectual Property

Your content: You retain ownership of all inputs you provide and SOPs you generate using the Service. We do not claim ownership of your generated content.

Our content: The Service, including its design, code, features, and documentation, is owned by Procedurio LLC and protected by intellectual property laws.

7. Free Tier and Paid Plans

The free tier provides limited usage. Paid plans, when available, will be billed as described on our pricing page. We reserve the right to modify pricing with 30 days' notice. Refunds are handled on a case-by-case basis.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control. We are not liable for any losses resulting from service interruptions.

9. Data Handling

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of data as described therein.

10. Limitation of Liability

To the maximum extent permitted by law, Procedurio LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

We are not liable for any regulatory non-compliance, failed audits, fines, or penalties that may result from using AI-generated SOPs without proper review and validation.

11. Indemnification

You agree to indemnify and hold harmless Procedurio LLC from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Account Termination

We may suspend or terminate your account if you violate these Terms or engage in activity that harms the Service or other users. You may delete your account at any time through the dashboard. Upon termination, your data will be handled according to our Privacy Policy.

13. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice on the Service. Continued use after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of New Mexico, United States. Any disputes shall be resolved in the courts of Bernalillo County, New Mexico.
